The Respiratory, Gastrointestinal, and Informatics business (RGI) within the Minimally Invasive Therapies Group offers technologies to help with early detection and treatment of gastrointestinal diseases and cancers and focuses on reducing complications through patient monitoring.  The RGI Business Partner Legal team supports the business' strategic goals by delivering commercial and other business legal counsel and coordinating across the Medtronic matrix to ensure that the RGI business unit legal needs are met. 

This position is responsible and accountable for the delivery and coordination of legal services to the RGI business unit.  The Legal Counsel III will be expected to provide timely and high-quality commercial legal support and guidance to divisions within RGI located in Boulder, Colorado and other geographies, as needed.  The Legal Counsel III will collaborate with internal clients at all levels of management to effectively balance the goal of minimizing legal risk to the business while supporting and assisting in the achievement of its business and strategic objectives.  This includes providing legal representation in leadership teams and strategic business counsel.  The Legal Counsel III will convene resources across the Medtronic matrix, including compliance, IP legal, Center of Expertise and Shared Services, MITG paralegals and other legal professionals, and other legal resources to ensure that there is shared accountability for the delivery of effective legal services to RGI.  This position will manage a wide variety of legal matters and will help the RGI business strategize around risk mitigation and management issues that are highly strategic to RGI.  The Legal Counsel III must have the ability to work confidently with a high level of independence and responsibility to provide legal advice and support directly to the business clients within the divisions he/she supports.  The position reports to the Vice President and General Counsel for RGI. 

This position is based in Boulder, Colorado.

A Day in the Life

Responsibilities may include the following and other duties may be assigned.

  • Providing legal guidance and support to Medical/Clinical Affairs, Regulatory, Quality, Finance, Sales, Marketing, Business Development & Licensing, and Human Resources departments
  • Assisting with the creation, review and approval of all product marketing materials
  • Supporting the development of new products, services, solutions, and commercial relationships
  • Legal support for new product New Business Models / Value-Based Healthcare (advisory, strategic business direction/input)
  • Being the Voice of Business back to Group General Counsel, Legal Function, Center of Expertise and Shared Services (Business Unit strategies/context, issues, needs, priorities)
  • Providing guidance and structure, drafting and negotiating agreements with respect to various strategic opportunities, including mergers/acquisitions, joint-ventures, joint-development relationships, private-label transactions, outsourcing and off shore manufacturing arrangements, etc.  Supporting due diligence activities
  • Supporting alignment of Intellectual Property strategy with Business Unit strategy
  • Identifying compliance issues and communicate with business leaders on risks and engage compliance leaders as needed to address issues
  • Provide training to employees with respect to wide range of issues facing a healthcare products and services business, including health care law compliance, contracting best practices, antitrust issues, product liability issues, FDA, HIPAA, and regulatory issues, etc
  • Ensure connectivity with Shared Services resources working on Group initiatives (manage virtual teams)
  • Translating complex legal impact/process understandable business level communications
  • Helping the rest of legal find the right business resource when needed (expediting)
  • Supporting manufacturing strategy
  • Advising on Security and Privacy – Business Unit/product specific issues (ex. data)
  • Translating litigation strategy (product liability, employment, miscellaneous) to leaders and business requirements around strategy, engaging to help manage decision making with Business Unit leadership
  • Participating in internal and external investigations and oversight, including communications
  • Determining when to escalate and whether to leverage Shared Services or other for legal service delivery
  • Up to 25% travel


Must Have: Minimum Requirements

  • JD from an accredited US law school
  • 8 years of legal experience as a corporate/commercial attorney, preferably in a midsize to large law firm setting
  • Licensed to practice law and in good standing under the Bar of at least one state 
  • Experience with direct client contact providing strategic and risk management advice
  • Experience drafting and negotiating contracts
Nice to Have
  • Previous in-house experience
  • Previous experience in the medical device field
  • Ability to clearly communicate complex technical and legal subject matter to a wide range of audiences 
  • Experience managing a team and/or resources that do not have a direct reporting line
  • Ability to work with minimal supervision and prioritize conflicting demands from multiple clients (including senior executives) in a fast-paced environment
  • Comfortable with having to provide clear ethical guidance in all aspects of work to a global organization
  • Persuasive presentation and counseling skills
  • Strong business sense and ability to work patiently and effectively as a partner with business clients
  • Demonstrated leadership skills
  • Interest in and ability to lead process change
  • Superior time management skills
