Job Description

Sound Advice is a boutique consulting firm whose principal objective is to provide clients with business/technical/marketing consulting services as well as cost-effective contract consulting, direct hire/permanent placement, and outsourced bookkeeping.

Our client has an opening at this time for an associate level attorney with 4 to 6 years of experience handling corporate transaction, securities, finance, and M&A matters.  This position encompasses a broad range of corporate issues and business transactions for businesses including closely-held entities, emerging and start-up ventures, and mature businesses.  Excellent writing and client communications skills are imperative for this position. Responsibilities and Duties
  • Transaction due diligence, primary and corollary document drafting, review and negotiation for transactions, mergers, acquisitions and financing
  • Handle corporate governance matters for client firms including board of directors and shareholder actions
  • Research and analyze legal issues confronting clients outlining applicable solutions and strategies
  • Identify and interpret regulatory law applicable to various client operations
  • Review and provide legal analysis and amendments to various client contracts, terms and policies
  • Timely perform other duties as assigned
  • Negotiate and draft complex agreements and transactions
  • Advise the business in assessing short-term tradeoffs in the context of broader strategic imperatives
  • Advise on a broad range of strategic legal and business matters
  • Effectively and efficiently engage and manage client relationships
  • Broad experience in all aspects of mergers and acquisitions, including drafting and negotiating acquisition agreements and ancillary documents, and otherwise managing and closing transactions
  • Broad experience in business formations, financing, securities, secured transactions, tax, and business and real property transactions
  • Experience working with emerging companies, including corporate formation, seed and venture financings, general corporate work, governance and compliance matters
  • Exceptional oral, written and interpersonal skills, with strong attention to detail
  • Excellent business judgment, ability to think strategically and to give practical advice
  • Ability to interface effectively with all levels of the organization (executive management, corporate development, finance etc.) and to gain the trust and confidence of others
  • Ability to work well both independently and as part of a highly collaborative team, in a fast-paced environment
  • Strong work ethic and ability to make decisions, multi-task, prioritize and follow through on numerous projects simultaneously
Qualifications and Skills
  • Current Colorado bar member
  • J.D. from a fully accredited top tier law school with an excellent academic record
  • Excellent writing skills and persuasive abilities
  • Significant experience handling transactional matters including contracts, securities, finance, M&A. Solid understanding of corporate governance, business transactions, business finance
  • Strong familiarity with tax and intellectual property is helpful to this position
  • 5+ years of experience as a business attorney, with relevant in-house and/or law firm experience
  • Experience handling a high volume of contracts with the ability to prioritize, work efficiently, meet demanding deadlines, and balance multiple tasks
  • Ambitious/highly motivated, strong work ethic, independent, and leadership skills, interest in taking on increased levels of responsibility, good business and strategic judgment, and ability to handle day-to-day demands and workflow of working in a fast-paced environment
  • Creative problem solver
  • Demonstrated ability to lead highly complex projects and other high impact initiatives
  • Ability to establish self as subject matter expert in specialty field
